Lawyers of the Sołtysiński Kawecki & Szlęzak law firm advised American corporation International Paper on the sale of International Paper (Poland) Holding for the price of over PLN 3 billion.
International Paper Company is an American Corporation active in the paper industry, seated in Memphis, Tennessee, the United States. Established in 1898 in Corinth, New York, it is currently a leading global paper company.
SK&S advised International Paper on the transaction covering sale of the Polish company which owns a paper mill in Kwidzyn to an Austrian group Mayr-Melnhof Kartonza, for the price approximating EUR 670 million and, additionally, approximately EUR 33 million for the discharge of liabilities in respect of use and operating lease. The transaction will be closed after the relevant standard approvals have been obtained.
The pulp and paper mill in Kwidzyn consists of a pulp mill and four integrated paper and cardboard manufacturing machines. Two of them are the most attractive European machines for the production of uncoated wood-free paper with total annual capacity of 410 000 tons. The mill employs approximately 2300 people.
In close cooperation with the London based office of American law firm Skadden, Arps, Slate, Meagher & Flom, SK&S advised the client on all Polish aspects of the transaction.

The work was supervised by dr Andrzej Kawecki (Senior Partner) who also led the team of SK&S lawyers when it advised the International Paper group upon acquisition of the mill in Kwidzyn in 1992, within the privatization process of this mill.
