SK&S advised Heineken International B.V. on the acquisition of the shares in Grupa Żywiec S.A.

SK&S advised Heineken International B.V. in connection with its approx. PLN 1.66 billion (approx. EUR 347 million) acquisition of the remaining 35% shareholding in Grupa Żywiec S.A. through a block trade transaction, a public tender offer, and subsequent minority squeeze-out.

We advised on the purchase of approx. 28.2% of the shares from Harbin B.V. in a block trade transaction for around PLN 1.33 billion (EUR 283 million) that was completed in October 2022. Subsequently, SK&S advised Heineken International on the announcement and execution of the public tender offer for all of the remaining shares in Grupa Żywiec S.A that was completed in December 2022, and resulted in the acquisition of an additional approx. 6% of the shares for PLN 286 million (approx. EUR 61 million), as well as a minority squeeze-out that was concluded in January 2023.

Heineken International B.V. is the number one brewer in Europe and one of the largest brewers by volume in the world, and is listed on the NYSE Euronext Amsterdam and OTCQX.

Grupa Żywiec S.A. is Poland’s second largest brewery, and listed on the Warsaw Stock Exchange.

Harbin B.V. is a Dutch investment company that makes mezzanine and equity investments.
