SK&S advised owners of El-Cab sp. z o.o on sale of a controlling stake to American corporation  Amphenol

The Sołtysiński Kawecki & Szlęzak law office provided advice to owners of El-Cab sp. z o.o on the sale of a controlling stake to an American corporation Amphenol.

Since 1996 El-Cab has been manufacturing and distributing commercial vehicles equipment, such as  wiring harnesses, electric control boards and other components for the motor vehicle, marine and railway industries.

The purchaser – Amphenol Technologies Holding GmbH – is member of an international Amphenol Group which operates in the field of design, production and sale of electrical, electronic and fiber-optic connectors, interconnected systems, antennas, sensors and specialized cables.

In cooperation with the Frankfurt office of the American law firm Willkie Farr & Gallagher LLP, SK&S advised to majority shareholders of El-Cab on all the aspects of the transaction, tax matters, negotiations of the transaction documents and conduct of a due diligence at the company. The team was led by Krzysztof Pawlisz (Senior Partner) and Andrzej Motyka (Partner), and included: Karol Skibniewski (Senior Associate), Anna Bartosiewcz (Associate), Mateusz Grześków (Associate). Advice on tax issues  was given by Piotr Andrzejak (Partner) and Małgorzata Krok (Associate).

We have reported this matter to the Police, specifically to the Central Bureau for Combating Cybercrime, due to suspicions of criminal activity. Please exercise caution: carefully verify the sender’s address and avoid opening any suspicious emails or attachments. If in doubt, we recommend deleting such correspondence immediately.
