SK&S advised Euricom on acquisition of Sonko, Eastern Europe’s leading healthy snacks brand

Sołtysiński Kawecki & Szlęzak advised Euricom S.p.A., a prominent global leader in the rice sector, on the acquisition of Sonko sp. z o.o., a leading company on the healthy snacks market in Eastern Europe and a Polish brand operating since 1989, from Oshee Polska sp. z o.o., a functional sports drinks manufacturer in Poland. Euricom aims to strengthen Sonko’s snack portfolio by investing in its infrastructure and brand identity, and expand its existing production capabilities in Italy.

SK&S provided comprehensive legal advice throughout the entire process.

Following the Office of Competition and Consumer Protection (UOKiK) approval of the acquisition, Euricom entered into a final agreement with OSHEE on November 27, 2024 to sell 100% of Sonko. The transaction was finalised on November 29.

Currently, Euricom owns two companies in Poland—Rol-ryż sp. z o.o. and Sonko sp. z o.o.

The core SK&S team responsible for the M&A transaction: Robert Gawałkiewicz (Senior Partner, M&A), Jakub Woźniak (Senior Counsel, M&A), Michał Dawidowicz (Senior Associate, M&A) and Wiktor Markiewicz (Associate, M&A). Krzysztof Kanton (Partner, Competition) and Szymon Murek (Senior Associate, Competition) obtained regulatory approval from the Office of Competition and Consumer Protection (UOKiK).

We would like to thank Jacek Balicki of BCGL law firm, OSHEE and Innova Capital for a smooth transactional process.
