We have for many years advised the largest companies in the FMCG business in Poland, and we know this sector very well. We are able to put up a team of lawyers to deal with a case when it requires the attention of specialists in several branches of the law, as it takes a combination of practical experience and expertise in company law, tax, competition, labour, intellectual property and unfair competition law to effectively advise FMCG clients.
We provide advice to the FMCG and retail sector as follows:
- M&As in the FMCG sector
We advise clients on M&A transactions both when they are buyers and sellers. We have been involved in tens of such transactions. - Restructuring and reorganization
We have participated in some of the largest and most complex domestic and international restructuring projects in the FMCG sector. We have developed and implemented plans for separating the retail and wholesale sections of businesses, and placed them in their own legal structures. - Private labels
We support companies selling products under their own private labels. We provide advice on launching, advertising and promoting their products. - Taxes
We advise FMCG companies and represent them in tax and criminal proceedings concerned with a potential breach of tax regulations in Poland, in particular VAT regulation. We develop procedures to minimize the risk of our FMCG clients being dragged into VAT carousels or other similar schemes. - Office for Competition and Consumer Protection
We advise and represent clients in proceedings initiated by the Office for Competition and Consumer Protection (UOKIK). - Trade restrictions and new legal instruments
We advise clients, those selling spirits among them, on product labelling, restrictions on distribution, trading, advertising and promotion of products, including on the so-called alcohol fee. Working together with our FMCG clients, we develop and help implement procedures that adapt their operations to the evolving regulations on payment backlogs, cash payments, split payments, electronic receipts, contractual advantage issues, etc. - Employees
We work on projects that cover the hiring of employees, defining conditions of work, and cooperation with employment agencies. We design employment structures for managing staff, and incentive programs addressed to managers and employees at large (e.g. employee shareholding plans).
