SK&S advised Helios S.A. on the conclusion of the investment agreement related to the company Foodio Concepts sp. z o.o.

Sołtysiński Kawecki & Szlęzak advised Helios S.A. (a company from the Agora capital group) on the conclusion of the investment agreement with two individual investors (Piotr Komór and Piotr Grajewski) related to the company Foodio Concepts sp. z o.o. The aim of the company is to create and develop (mainly by building its own brand) a chain of 45 restaurants located in Poland in shopping malls and independent locations.

The scope of the SK&S assistance covered support in all areas of the transaction, including negotiations of the transaction documentation, corporate, tax and antitrust matters (including obtaining the consent of the President of the Office of Competition and Consumer Protection).

The transaction was led by a team comprising: Leszek Małecki, senior associate, Karol Skibniewski, associate (transactional and corporate matters), Szymon Czerwiński, senior associate (tax matters), Marta Kupczak-Strzelecka, senior counsel, Grzegorz Koguciuk, associate and Szymon Murek, junior associate (antitrust matters), supervised by Robert Gawałkiewicz, senior partner and head of the M&A Department, Krzysztof Kanton, partner and head of the Competition Law Department, and Piotr Andrzejak, partner in the Tax Department.

We would like to inform you that in recent days, fraudulent emails impersonating our law firm have appeared online. In some cases, these emails include alleged invoices issued by SK&S.

Such fraudulent emails can be identified as they are sent from unusual, unknown addresses that do not belong to our domain. Additionally, these messages are often sent from addresses deceptively similar to those of legitimate senders. We want to emphasize that our law firm has no connection to these emails. All official correspondence from us is sent exclusively from addresses within the domain @skslegal.pl.

We have reported this matter to the Police, specifically to the Central Bureau for Combating Cybercrime, due to suspicions of criminal activity. Please exercise caution: carefully verify the sender’s address and avoid opening any suspicious emails or attachments. If in doubt, we recommend deleting such correspondence immediately.
