SK&S lawyers advised Eurocash in connection with the sale of 100% of the shares in PayUp Polska to Polskie ePłatności

Lawyers from the law firm Sołtysiński Kawecki & Szlęzak advised Eurocash S.A. in connection with the sale of 100% of the shares in PayUp Polska S.A. to Centrum Rozliczeń Elektronicznych Polskie ePłatności S.A. The preliminary share sale agreement was concluded on 27 September 2018.

PayUp is a Polish firm which manages a network of over 15 000 POS terminals in stores belonging to chains organized by Eurocash Group and in other retail stores, through which pre-paid services are provided, including recharging telephones, acceptance of payment cards, payment via the Internet.

The scope of SK&S advice covered all aspects of the transaction, including support in negotiating the transaction documentation, advice on antimonopoly and regulatory issues linked to the transaction, support during the signing of the preliminary agreement, the cooperation agreement, as well as the remaining transaction documentation.

Eurocash was advised by a team headed by Sławomir Uss, in cooperation with senior partner Prof. Andrzej Szlęzak. The team was composed of: Leszek Małecki, Witold Kurek, Anna Bartosiewicz, Krzysztof Misarko and Mateusz Blocher. Antimonopoly issues were handled by Krzysztof Kanton and Jarosław Łukawski.
