SK&S team advised Bioagra-Oil S.A. in the acquisition of control of Emer sp. z o.o.

The SK&S team advised Bioagra-Oil S.A. – a leader in the production of methyl esters and glycerine – in taking control of Emer sp. z o.o. by acquiring a majority stake in Emer.

Bioagra-Oil is part of the BZK capital group, which includes Bioagra, Komagra, Staoil, Bakoma, Polskie Młyny and BZK Alco. The group is a national leader in biofuel production, with a 25% share of the Polish market, supplying 510,000 tonnes of biofuels, and is the largest processor of agricultural raw materials in Central and Eastern Europe, processing 1.6 million tonnes of raw materials, including rapeseed, wheat and maize.

Emer is involved in the purchase of category 3 animal by-products (UPPZ) and the processing of these raw materials, resulting in two main products, i.e. liquid rendered fats called UPPZ derivatives and high-protein animal meal (PAP).

Bioagra-Oil was represented by SK&S’s M&A team of Paweł Bochnia (Senior Associate) and Sylwia Mizera (Associate), led by Tomasz Kański (Senior Partner), together with lawyers from other departments – Michał Oleś (Associate) from the real estate law department, Tomasz Duchniak (Senior Counsel) from the environmental law department, Jarosław Bieroński (Senior Partner) and Katarzyna Juralewicz (Senior Associate) from the tax law department, as well as Krzysztof Kanton (Partner) and Maciej Żelewski (Senior Associate) from the antitrust law department.

We have reported this matter to the Police, specifically to the Central Bureau for Combating Cybercrime, due to suspicions of criminal activity. Please exercise caution: carefully verify the sender’s address and avoid opening any suspicious emails or attachments. If in doubt, we recommend deleting such correspondence immediately.
