SK&S’ attorneys advised the Lithuanian firm FIMA UAB on the acquisition of a controlling block of shares in the firm Krakowskie Zakłady Automatyki S.A. (KZA) from key company managers. The takeover of control over KZA is a strategic step in the realization of the strategic expansion of FIMA UAB on the Polish market.
FIMA UAB is a Lithuanian enterprise which for the last 25 years has been in the business of system integration. FIMA’s offer includes many engineering services and solutions adapted to the needs of very different customers, in such areas as security, automatics and telecommunications systems. FIMA executes complex projects involving urban infrastructure, as well as transport and rail systems.
Krakowskie Zakłady Automatyki S.A. is a firm which for many years has provided services related to the realization of projects linked to rail infrastructure, modernization of railway lines, as well as the assembly of rail control and signaling devices. The operations of KZA S.A. include the assembly of station and line computers, computer-transmission and transmission systems for rail traffic, as well as the assembly of remote rail control and signaling devices.
SK&S advised FIMA UAB on all aspects of the project, including negotiating the share sale agreements, carrying out the due diligence of the company, as well as on employee and competition law issues.
In this transaction, FIMA UAB was assisted by a team of attorneys headed by Tomasz Kański, partner, and composed of: Andrzej Motyka (senior associate, lawyer), Karol Skibniewski (associate, legal advisor) and Jan Pierzgalski (associate). Antimonopoly issues were handled by Krzysztof Kanton, partner in charge of the competition law practice.
