Sołtysiński Kawecki & Szlęzak (SK&S) advises China Security & Fire in acquisition of Konsalnet Group

Sołtysiński Kawecki & Szlęzak advises China Security & Fire Co. Ltd., a Shanghai stock exchange listed company, in signing the preliminary share purchase agreement with a company controlled by Value4Capital (V4C) private equity fund, related to the acquisition of Konsalnet Holding S.A. and its subsidiaries (one of the Poland’s largest security firm).  The transaction value is approx. 110 million EUR. The transaction is subject to conditions precedent, including obtaining antimonopoly clearance.

The scope of SK&S’ advice to China Security & Fire Co. Ltd. covers all legal and tax aspects of the transaction, including legal and tax due diligence of the target companies, negotiating transaction documentation, as well as antimonopoly advice (antimonopoly clearance).

The target companies belonging to the Konsalnet Group are one of the major entities in Poland in the fields of security services for people and property, cash processing (including convoys), technical security systems and monitoring, fire protection services.

The Purchaser’s group is active primarily in China, where it provides “smart city solutions” for large cities (i.e. solutions related to construction and development, security and fire system integration and operation services dedicated to administrators; the solutions are applied to resolve difficulties in the process of urban development, including public safety, public services and industrial transformation). The Purchaser’s activity outside China, which is carried throughout Southwest Asia, Australia and New Zealand, encompasses cash logistics management, financial security, human security, electronic security, facility management and various extended security services with businesses.
