SK&S’ transactions and tax teams advised the shareholders of Brand New Galaxy on the sale transaction of their 100% shareholding in Brand New Galaxy (BNG) to the American Stagwell network. This is one of the largest transactions on the Polish market in the communications and marketing sector, and the first one in this region to be performed by Stagwell.
SK&S’ lawyers, in close cooperation with the Małecki Legal team (which led the project, including coordinating the entire transaction and its international aspects), supported the sellers by advising them on, i.a. preparing the transaction structure, negotiating the transaction documents, and the closing of the transaction.
Brand New Galaxy is a marketing and technology holding of a Polish origin with international operations and offices in Dubai, Amsterdam, the USA, and other locations. Its entities offer specialised services in the e-commerce and digital area and serve global brands and companies, e.g. Coty, Bayer, Procter & Gamble, Wella, and Mastercard. BNG encompasses over 650 specialists and experts and this year’s projected agency revenues top USD 40 million.
Stagwell is one of the top global communications holdings listed on the NASDAQ and valued at over USD 2 billion. The network includes over 70 agencies which employ over 10,000 specialists in 34 countries and manage media worth nearly USD 5 billion. It was founded by Mark Penn, former managing director of WPP, and Steve Ballmer, former president of Microsoft and one of America’s richest men.
SK&S’ transaction team was led by the partners Tomasz Kański and Andrzej Motyka, and included Witold Kurek (Senior Counsel), Karol Skibniewski (Senior Counsel), and Anna Bartosiewicz (Senior Associate). The tax aspects of the transaction were handled by Piotr Andrzejak (Partner) and by Wojciech Węgrzyn (Senior Associate).
The transaction team of Małecki Legal was led by Leszek Małecki (Partner) and included Małgorzata Banaszkiewicz (Senior Associate), Damian Staszewski (Senior Associate), Katarzyna Bąkowska (Junior Associate), and Tomasz Kiełczykowski (Paralegal).
This is yet another transaction related to Brand New Galaxy in which SK&S was a legal advisor (in December 2019, SK&S advised on the acquisition of a majority shareholding in BNG from the previous investor).
